RTDNA Proposed Bylaws Change
As required in the RTDNA Bylaws, members are being given proper notice (10 days) of an upcoming bylaws change vote. The Board of Directors will meet the week of March 24 to vote on the changes, which require a two-thirds vote to approve and pass.
Omissions from the Governance Modernization Bylaws Changes
In 2024, the Board of Directors passed broad bylaws changes as a result of the organization's Governance Modernization efforts. When those changes were presented to members, two specific changes were left out of the marked up versions of bylaws changes due to a technology glitch. The two changes were, however, included in all the educational materials and as part of the overall information shared with members.
Those changes are now reflected in the marked-up version presented as part of this vote.
Change to Post-Conference Board Meeting Language
Traditionally, and as outlined in the RTDNA Bylaws, the Board of Directors is required to meet once before the start of the annual conference and once after the annual conference concludes. The second meeting, taking place just two or three days after the first, is not always necessary. Here's why:
- Any significant issues are discussed just days earlier with essentially no time for any "work" to be done (other than carrying out the conference, of course) between, so there are almost always no changes to discuss or report.
- New board members don't have any context to take part in discussions since they've only just joined the board hours earlier.
- The post-conference board meeting often is costly and logistically challenging — many board members depart before or during the meeting.
Because of that, it is proposed that the word "shall" be replaced with "may" in regards to the Board of Directors meeting following the annual conference, providing flexibility to leadership to determine whether it is the best use of volunteer time and financial resources.
